| William Johnson |

| Mr. Johnson was the Executive Vice
President of Primary Energy responsible for all mergers and
acquisitions and key commercial activities. Mr. Johnson was
responsible for building Primary Energy to a business with 14
power plants producing 2,400 MWeq. Mr. Johnson was founder,
President and CEO of Nations Energy, an onsite supplier of electricity
and steam to industrial customers. Nations operated in Ohio,
Massachusetts, Illinois and Texas. Prior to Nations Energy,
Mr. Johnson served as a corporate officer of Air Liquide Group,
a $7 billion international chemical company; responsible for
its global chemical and energy businesses. During his 15 year
tenure with Air Liquide, he oversaw startup and acquisition
of various businesses as well as profit and loss accountability
for key subsidiaries. He also managed the company's production,
business development and strategic planning activities. He previously
worked with Fish Engineering and Construction and Union Carbide
Chemicals and Plastics. Mr. Johnson is also a director of Dongara
Pellet Plant, Inc. that provides municipal solid waste solutions
as well as InEnTec Chemicals LLC that uses plasma technology
to convert chemical waste and hazardous waste into reusable
chemicals. His education includes a B.S. in Chemical Engineering
from Auburn University and Harvard Business School, AMP. |

| James Baclawski |

| Mr. Baclawski has 18 years of experience
as an institutional investor in private placements for The Prudential
Insurance Company of America and Heller Financial. His various
positions included Regional Vice President at Prudential responsible
for a $2.6 billion energy portfolio and team of 12 investment
professionals and Vice President Corporate Finance at Heller
Financial responsible for their Industrial Project Finance business
including the oil and gas and coal industries. As a member of
the Prudential Power Funding Credit Committee, Mr. Baclawski
participated in over $10 billion of investment decisions. In
addition to his responsibilities at Lakeside Energy, Mr. Baclawski
is the President, Chief Executive Officer and Director of Mayflower
Renewable Energy, Inc., a renewable energy company with primary
focus on the production of syngas and cellulosic ethanol from
biomass and organic waste. He is also a Director of Dongara
Pellet Plant, Inc. Mr. Baclawski received an M.B.A. in Finance
from Babson College and a B.S. in Biology from the University
of Notre Dame. |

| Martin Collins |

| Mr. Collins has over 17 years of
experience in industrial energy operations as well as energy
related acquisition and development. Most recently Mr. Collins
was Vice President of Mergers and Acquisitions for Primary Energy
where he provided technical, operational, commercial, and strategic
support to Primary Energy’s M&A and financing activities.
Mr. Collins joined Private Power, the predecessor of Primary
Energy in January 2001, and subsequently worked on various acquisition
and development opportunities and their associated financings
including the purchase of Primary Energy from NiSource and the
CHP portfolio from Reservoir Capital and the sale of five of
the assets into the Canadian public market. Mr. Collins joined
LTV Steel Corporation in 1990, where he served in various positions
in operations management and technical support in utility and
chemical plant operations. Mr. Collins earned his Bachelor of
Engineering, Mechanical, from Marquette University and a M.B.A.
from the JL Kellogg School of Management, Northwestern University.

| Mr. Fanella served as Vice President of
Finance at Primary Energy. While at Primary Energy, Mr. Fanella
was responsible for the identification, structuring and execution
of all capital transactions. While in this role, Mr. Fanella
raised over $850 million of capital in the private and public
debt and equity markets. Mr. Fanella also was responsible for
creating and maintaining relationships with the financial community,
equity research analysts as well as the credit rating agencies.
Prior to joining Primary Energy, Mr. Fanella worked in the Global
Industrial and Services Group at Credit Suisse First Boston.
Mr. Fanella graduated Summa Cum Laude from the University of
Notre Dame. |

| Mr. Hall was the Senior Vice President of External Affairs for Environmental Power Corporation (NASDAQ:EPG), responsible for public and government affairs, investor relations, corporate communications and the company's carbon strategy. Previously, Mr. Hall was Senior Vice President for Primary Energy Ventures, a wholly owned subsidiary of EPCOR Power L.P. where he was responsible for external and environmental affairs. He also served as the investor relations officer for Primary Energy Recycling Corporation (TSX:PRI.UN) a public company managed by Primary Energy Ventures. Prior to joining Primary Energy, Mr. Hall was Vice President of External Affairs for Trigen Energy Corporation, responsible for Trigen's government affairs, corporate communications, and e-business functions. Mr. Hall worked as an environmental consultant to industrial, commercial and institutional clients before joining Trigen. His education includes a BA in Chemistry from Austin College in Sherman, Texas with a Masters of Science Degree in Environmental Science (MSES) from Indiana University's School of Public and Environmental Affairs in Bloomington, Indiana. |

| Mike Hatem |

| Mr. Hatem's 21 years of progressive experience encompasses all facets of engineering, maintenance and operations management of power generation facilities. In addition to plant management, Mr. Hatem's career is marked by engineering achievements such as timely turbine rebuilds, efficiency improving control upgrades, reliable power distribution coordination, successful plant construction and commissioning, and innovative plant restructuring. In 1998, Mr. Hatem joined Air Liquide where he successfully commissioned and managed a newly constructed 300 MWeq waste gas generating station. After leaving Air Liquide to join Nations Energy's executive team in 2000, Mr. Hatem was Vice President of Operations where he managed the company's diverse portfolio of generating facilities that utilize a wide array of generating technologies and fuels. A registered Professional Engineer in the states of Ohio and Pennsylvania, Mr. Hatem earned a B.S. in Electrical Engineering from The Ohio State University and a M.S. in Management from Purdue University. |

| Jim Kueser |

| Mr. Kueser has a total of 19 years
of industrial and energy related professional experience, the
last 12 years of which have been focused upon the power industry
and specifically centered around the development, acquisition
and project financing of power and steam generation projects.
Most recently, Mr. Kueser was Senior Vice President of Nations
Energy (an onsite supplier of electricity and steam to industrial
customers) leading all project development. Prior to his tenure
at Nations Energy, Mr. Kueser served as Senior Vice President
of Power Development and Acquisitions for El Paso Merchant Energy
and for Coastal Power Company. Additionally, Mr. Kueser held
several plant management and chemical engineering positions
with Owens-Corning Fiberglas. Mr. Kueser received a Master of
Business Administration degree from the Cox School of Business,
Southern Methodist University, and earned dual Bachelor of Science
degrees in Chemical Engineering and Biochemistry from the University
of Missouri. |

| Ms. Liao has over 3 years of energy
experience as a consultant at PA Consulting Group, one of the
largest independent global consulting firms in the world with
deep expertise in multiple industries including Energy. Ms.
Liao has worked on the restructuring of power generation portfolios
of over 24 GW and evaluated a total of $15 billion M&A opportunities
for various parties including energy companies, investment banks
and private equity firms. Additionally, Ms. Liao has conducted
extensive research on the current energy market operations throughout
the North America and China, primarily focusing on the economic
drivers, market risks and renewable incentives. Ms. Liao is
experienced with financial modeling, contract analysis and asset
valuation. Ms. Liao holds a Masters in Economics from University
of Wisconsin, Madison and has just passed the CFA Level III
exam. |

| Mr. Paris has served as the Vice
President of Mergers and Acquisitions for Primary Energy. Mr.
Paris was responsible for commercial and financial aspects of
each of the acquisitions that built the $1 billion company.
Mr. Paris played a similar role in the 2006 divestiture of Primary
Energy. Previously, Mr. Paris worked as an analyst in Credit
Suisse First Boston's Global Industrials and Business Services
Group (CSFB) working on debt financings, initial public offerings,
and acquisitions for engineering and construction companies.
He currently serves as a Director on the InEnTec Chemicals LLC
Board of Directors. In addition to his responsibilities with
Lakeside Energy, Mr. Paris serves as a director for Orion's
Mind, a company that provides after-school tutoring to underprivileged
children in under performing schools. Mr. Paris earned his Bachelor
of Business Administration from the University of Michigan Business
School with concentrations in Finance, Accounting, and Computer
Information Systems. |

| Ms. Toerber has over 20 years experience
as a corporate, commercial, construction and transactional attorney,
primarily representing clients in the energy and construction
industries. She came to Lakeside from Primary Energy where she
was Vice President, General Counsel and Secretary and supported
that company's acquisition, financing and financial restructuring
activities, which included the IPO of Primary Energy Recycling
Corporation, a Canadian income trust traded on the Toronto Stock
Exchange (TSX: PRI.UN). Prior to joining Primary Energy Ms.
Toerber was in private practice representing both large corporate
clients and privately owned mid-size entrepreneurial companies
engaged in a variety of businesses and industries, including
energy, manufacturing, construction, marketing, transportation
and logistics. Ms. Toerber was also Associate General Counsel
and Secretary of Chicago Bridge & Iron Company, a NYSE multi-national
construction company where she served as corporate secretary
and was CBI's principal transactional/commercial attorney on
a wide variety of transactions. Ms. Toerber received her J.D.
degree from DePaul University and has a B.S. in chemistry from
the University of Illinois. |

| Mr. Rockford was President, Chief Financial
Officer and Chief Operating Officer of Primary Energy. Mr. Rockford
has twenty-eight years experience in providing senior capital,
corporate finance, start-up capital, project finance and merger
and acquisition advice to the traditional utility and independent
power industry. In 2000, Mr. Rockford retired from The Chase
Manhattan Bank after twenty-eight years of service and joined
Primary Energy. During his last fifteen years at Chase, Mr.
Rockford was Managing Director responsible for the Global Power,
Project Finance and Environmental Group. Mr. Rockford serves
on the Board of Directors of TECO Energy Inc., a Fortune 500
diversified energy company. Mr. Rockford received his Masters
of Arts in Economics from Fordham University, New York, NY in
1972 and his Bachelors of Arts from Fordham University, New
York, NY in 1967. |
